Corporate Woes

MONKEY BUSINESS (4K): Dombrovski discovered corporate endeavors were like tennis--the ball goes from court to court, and it's done with a racket. Earlier, in March 1998, Dombrovski was again in Los Angeles, CALIFORNIA, U.S.A., obtaining counsel regarding how best to further proceed with NOVUS PRODUCTIONS' tentative, and hopefully profitable, coast-to-coast corporate endeavors. This was to be the beginning of a five-year struggle to free Dombrovski from many undisclosed and unfavorable adhesive contractual nexuses concerning Dombrovski's person in various corporate contexts. Dombrovski now realized he had contractually obligated himself unwittingly without a genuine meeting of minds with, and full disclosure from, all parties involved in Dombrovski's and NOVUS PRODUCTIONS' various business affairs. As a result, in April 1998, Dombrovski was back in Wilmington, DELAWARE, U.S.A., and via NOVUS PRODUCTIONS' registered agent for CALIFORNIA, said register agent also headquartered in Wilmington, DELAWARE, the corporation was surrendered in CALIFORNIA. By May 1998, all NOVUS PRODUCTIONS assets were liquidated, and with the assistance of the corporation's DELAWARE lawyer and agent, NOVUS PRODUCTIONS was dissolved in DELAWARE in May 1998.

DOMBROVSKI: Yeah, music is my forte--not business. My contacts in CALIFORNIA, U.S.A., with the expertise in finance, commerce, and law, introduced me to those who helped me understand over the years I signed certain agreements without reservation, which meant I'd waived away too much lawful protection. I had a lot of legal monkeys on my back I didn't need and they were going to cost me a lot of money down the road, but there's a lot of crinkum-crankum involved trying to shake these things lawfully. You're turning square corners. What can I say? Certain deals I made I couldn't just walk away from, and I had to uphold my end of the bargain, which took time and money. It was a struggle because I wanted to go one way, but I was compelled to go the opposite way for years.

DOMBROVSKI: I had to get rid of NOVUS PRODUCTIONS because it clouded my position lawfully and financially. My lawyer in DELAWARE, U.S.A., thought I was crazy, but I went through the administrative necessities involved with dissolving NOVUS PRODUCTIONS. That meant returning to DELAWARE to deal with some of the paperwork I had to sign and file with the STATE.
